This API Service Agreement ("Agreement") is entered into between HandTextAI ("Company", "we", "us") and the entity accessing our API services ("Customer", "you").
Acceptance: You accept these terms by (i) using the API, (ii) making an API call, or (iii) paying an invoice for our services. If you do not agree to these terms, do not use the service.
2. Service Description
HandTextAI provides an API service for generating realistic handwritten text images through programmatic access. The service includes:
RESTful API endpoints for text-to-handwriting conversion
Multiple handwriting font styles
Customizable page layouts and formatting options
Usage tracking and analytics
Technical documentation and integration support
3. Account Registration and API Keys
3.1 Account Setup
Accounts are created through our manual onboarding process
You must provide accurate business information
You represent that you have authority to bind your organization
3.2 API Key Management
API keys are unique to your account and must be kept confidential
You are responsible for all usage under your API keys
Compromised keys must be reported immediately
We may rotate or revoke keys for security reasons
4. Billing and Payment Terms
4.1 Pricing Structure
Usage-based pricing per API request
Pricing tiers based on monthly volume
Custom enterprise pricing available upon request
4.2 Payment Methods
For USD Invoices:
Primary: ACH Direct Debit (U.S. bank transfer)
Secondary: Credit/Debit Card (for invoices under $2,000)
For EUR Invoices:
Primary: SEPA Direct Debit
Secondary: Credit/Debit Card (for invoices under €2,000)
4.3 Billing Cycle
Monthly invoicing based on actual usage
Invoices issued within 5 business days after month end
Payment Terms: NET 30 (due within 30 days of invoice date)
Late payments may incur service suspension
4.4 Payment Processing
All payments processed through Stripe, a PCI DSS Level 1 certified provider
By providing payment information, you authorize us to charge for services rendered
Failed payments may result in service interruption
You must maintain PCI compliance for your own systems if handling card data
5. Service Usage and Restrictions
5.1 Acceptable Use
You may use the API for lawful purposes, including:
Generating handwritten content for communications
Automating document creation workflows
Integration into your products or services
5.2 Prohibited Uses
You may NOT:
Generate illegal, harmful, or offensive content
Attempt to reverse engineer the service
Exceed rate limits or abuse the service
Resell API access without written agreement
Use the service for forgery or deceptive practices
Process personal data without proper legal basis
5.3 Rate Limits
Rate limits are applied per user account
Current limit: As specified in your account settings
Exceeding limits may result in temporary throttling
6. Intellectual Property Rights
6.1 Your Content
You retain all rights to the text content you submit
You grant us a limited license to process your content for service delivery
We do not claim ownership of your input or output
6.2 Our Technology
We retain all rights to our API, algorithms, and font designs
You receive a limited, non-exclusive license to use the service
Generated images may be used for your commercial purposes
6.3 Attribution
No attribution required for generated content
You may not claim ownership of our handwriting fonts
7. Data Protection and Privacy
7.1 Data Processing
We process data in accordance with our Privacy Policy
We act as a data processor for content you submit
You are responsible for having legal basis to process any personal data
7.2 Security Measures
Industry-standard encryption for data in transit and at rest
Regular security audits and updates
Incident response procedures in place
8. Service Level and Support
8.1 Availability
We endeavor to make the service available on a commercially reasonable basis.
No service level agreement (SLA) is provided unless expressly set forth in a separate written agreement executed by both parties.
We may perform maintenance, updates, or modifications to the service from time to time, and may provide advance notice where reasonably practicable.
Emergency maintenance may occur without notice.

9. Compliance and Export Controls
9.1 Compliance with Laws
You represent and warrant that your use of the service complies with all applicable laws, including but not limited to data protection, privacy, and export control regulations.
9.2 Export Restrictions
You may not use or export the service in violation of U.S. export laws and regulations or any other applicable laws.
10. Warranties and Disclaimers
10.1 Our Warranties
We warrant that:
The service will perform substantially as documented
We have the right to provide the service
We will maintain commercially reasonable security measures
10.2 Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant:
Uninterrupted or error-free service
That the service will meet all your requirements
Specific results or outcomes
11. Limitation of Liability
11.1 Liability Cap
Our total liability for any claims arising from this Agreement shall not exceed the total amount paid by you in the three (3) months preceding the claim.
11.2 Exclusions
Neither party shall be liable for:
Indirect, incidental, or consequential damages
Lost profits or business opportunities
Data loss (except as required by law)
12. Indemnification
12.1 Your Indemnification
You agree to indemnify and hold us harmless from claims arising from:
Your use of the service
Violation of these terms
Infringement of third-party rights
Your content or data
12.2 Our Indemnification
We will indemnify you against claims that our service infringes third-party intellectual property rights, subject to the liability cap.
13. Term and Termination
13.1 Term
This Agreement begins upon first API use and continues until terminated.
13.2 Termination for Convenience
Either party may terminate with 30 days written notice.
13.3 Termination for Cause
Either party may terminate immediately for material breach if not cured within 10 days of notice.
13.4 Effect of Termination
Upon termination:
API access will be revoked
Final invoice will be issued for outstanding usage
Upon written request, and subject to applicable law and our security requirements, we may provide a copy of certain account-level information or usage data that we make available, in a commercially reasonable format.
Confidentiality obligations survive
14. Modifications to Terms
We may modify these terms with 30 days notice via email. Continued use after the effective date constitutes acceptance of modified terms. Material changes may allow immediate termination.
15. General Provisions
15.1 Governing Law
This Agreement is governed by the laws of Delaware, United States, without regard to conflict of law principles.
15.2 Dispute Resolution
Disputes will be resolved through good faith negotiation, followed by binding arbitration if necessary.
15.3 Entire Agreement
This Agreement, including referenced policies, constitutes the entire agreement between parties.
15.4 Severability
If any provision is found unenforceable, the remainder continues in full effect.
15.5 Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control.
15.6 Assignment
You may not assign this Agreement without our written consent. We may assign to a successor or affiliate.
